Terms of Service

1. Agreement to terms

By accessing or using any ArxGate product or service — including arxgate.io and the ArxVault application — you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

2. Eligibility

You must be at least 18 years old to use our services. By using ArxGate or ArxVault, you represent that you meet this requirement and have the legal capacity to enter into this agreement.

3. Your account

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when registering.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at security@arxgate.io if you suspect unauthorized access.
  • One account per person. You may not share, sell, or transfer your account.

4. ArxVault — important notices

Encryption and key custody: ArxVault encrypts your vault content on your device. ArxGate does not hold your encryption keys and cannot recover your data if you lose access to your device or credentials. You are solely responsible for maintaining your own backup and recovery plan.

Not a legal or financial service: ArxVault is a secure storage and organization tool. It is not a substitute for a will, trust, or other legal instrument. Consult a qualified attorney for estate planning advice.

Beneficiary access: Granting next-of-kin access to your vault is governed by the sharing settings you configure. ArxGate does not make legal determinations about who is entitled to access a vault upon a user's death or incapacity.

5. Acceptable use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable law.
  • Upload or transmit malware, viruses, or other harmful code.
  • Attempt to gain unauthorized access to any part of our systems.
  • Interfere with or disrupt the integrity or performance of our services.
  • Use automated means to access our services without prior written consent.
  • Impersonate another person or entity.
  • Use ArxVault to store content that is illegal in your jurisdiction.

6. Subscription and billing

Certain ArxVault features require a paid subscription. By subscribing:

  • You authorize us to charge your payment method on a recurring basis at the selected interval (monthly or annual).
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period.
  • Refunds are provided at our discretion in accordance with applicable consumer protection laws.
  • We reserve the right to change pricing with 30 days' notice to current subscribers.

7. Intellectual property

ArxGate and ArxVault, including all software, design, trademarks, and content created by ArxGate, are owned by ArxGate Inc. and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding without prior written permission.

You retain ownership of all content you upload to ArxVault. You grant ArxGate only the limited rights necessary to store, encrypt, and deliver your content to you.

8. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARXGATE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ARXGATE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. You may close your account at any time by contacting support@arxgate.io. Upon termination, your right to use our services ceases immediately.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice in the product at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
